The key focus during the period was expanding the group’s generation base and ANIREP made significant investments to
make this possible
- Construction of the Khan 25,04MWp PV plant neared completion during the current year while construction on the
expansion of the Otjiwarongo PV Park was initiated.
- These two projects will increase generation capacity by over 300% and significantly increase revenue and profitability.
- ANIREP grew its asset base to N$1,2 billion from N$1,0 billion during the year.

EXTENSION FOR PUBLICATION OF AUDITED ANNUAL RESULTS FOR THE YEAR ENDED 28 FEBRUARY 2025

The ANIREP Board of Directors would like to apprise its shareholders and the general public that the first-time group-wide audit and the complexities associated with auditing the share-based payment and goodwill valuations has resulted in extended audit timelines.

Consequently, ANIREP will not be in a position to publish its audited financial statements for the year ended 28 February 2025 within 3 months, as required in terms of the NSX Listings Requirements.

Accordingly, ANIREP has obtained formal approval from the Namibia Securities Exchange to delay the publication of its audited financial statements to on or before 30 June 2025, as required in terms of section 3.16 of the NSX Listing Requirements.

ANNOUNCEMENT IN RESPECT OF THE CONCLUSION OF A CONDITIONAL BINDING OFFER FOR THE ACQUISITION OF 45% EQUITY IN CERIM LUDERITZ ENERGY (PTY) LTD

Shareholders are advised that ANIREP has successfully concluded a conditional binding offer, in terms of which ANIREP will acquire a 45% shareholding in Cerim Luderitz Energy (Pty) Ltd (Registration No. 2023/0352) ("the Company" or "CERIM") for a total consideration of N$60,000,000 (sixty million Namibia Dollars). The vendors are Allied Worldwide Trading Limited, for a 30% shareholding, and Riminii Investment (Proprietary) Limited, for a 15% shareholding ("collectively the "Transaction"). In accordance with Section 9 of the NSX Listing Requirements, specifically paragraphs 9.3 and 9.5, the Transaction is classified as a Category 3 transaction, as the transaction value is less than 10% of ANIREP’s market capitalization. As such, no circular will be published in respect of the Transaction. ANIREP will fully adhere to the Listing Requirements, including all provisions of Section 9, in relation to this Transaction.

RESIGNATION AND APPOINTMENT OF DIRECTOR

In accordance with section 3.59 of the Namibian Stock Exchange Listings Requirements,
shareholders are hereby advised of the following changes to the Board of Directors of
ANIREP Limited:
Dr Candice Hartley has tendered her resignation from the Board of ANIREP Limited as an independent non-executive director, due to a subsequent conflict of interest. The Board expresses its appreciation to Dr Hartley for her willingness to serve the Company.

The Board is pleased to announce the appointment of Dr Eunice Cross as an independent non-executive Director with immediate effect, replacing Dr Hartley. This appointment
was made in accordance with Article 30.7 of ANIREP’s Articles of Association, which authorises the Board to fill casual vacancies for the remainder of the outgoing director’s
term. Thus, her term will conclude on 31 December 2027.

This follows his appointment to the Cabinet of the Republic of Namibia as Minister of Agriculture, Fisheries, Water and Land Reform.

Further to the announcement dated 13 October 2023, shareholders should take notice of the Circular to all existing shareholders. A Renounceable Rights Offer to Qualifying Shareholders in respect of 71,403,185 Ordinary Shares at an issue price of 790 Namibian cents per Rights Offer Share, in ratio of 423 Rights Offer Shares for every 100 Ordinary Shares held at close of business on Friday, 10 November 2023. Listing of Rights Offer Shares have effect and commence trade on Tuesday, 5 December 2023.

The ANIREP Rights will trade under the share code ANEN and the ISIN NA000A3EXJH9.

Further to the announcement dated 22 October 2022, shareholders should take notice of the Circular to all existing shareholders. A Renounceable Rights Offer to Qualifying Shareholders in respect of 71,403,185 Ordinary Shares at an issue price of 790 Namibian cents per Rights Offer Share, in ratio of 423 Rights Offer Shares for every 100 Ordinary Shares held at close of business on Friday, 10 November 2023.

Audited financial results 2023

Key features

- 29% increase in normalised operating profit for the year, from N$21.5 million to N$27.7 million.  22% increase in normalised EBITDA for the year, from N$30.9 million to N$37.9 million. 

- The core annuity revenue for the Group, being the IPP Sale of Electricity and Operations and Maintenance (O&M) was steady at N$51.3 million. 

- Engineering Procurement and Construction (“EPC”) Revenue fluctuates in line with the contracts that HopSol Africa will be working on and reduced by 86.6% for the year to N$27.6 million.

- During the previous reporting period the results for the 50% owned joint venture that completed the Omburu EPC project for NamPower were not consolidated in the Group. As the project has been closed out these have now been consolidated, with prior year results for the year ended 28 February 2022 being restated to reflect the consolidation. AMENDMENT ADDENDUM – OF POWER PURCHASE AGREEMENT AND DISTRIBUTION CONNECTION AGREEMENT

ANIREP Solar Pty Ltd and CENORED today (3rd of November 2022) signed an  amendment to the Power Purchase Agreement (PPA) and Distribution Connection Agreement (DCA) which has existed since   2nd of July 2015. In terms of this agreement the Parties agree to amend the existing PPA reference of 5 MW AC capacity to between 8 MW AC up to 11 MW AC, on the below mentioned terms and conditions.

ANNOUNCEMENT OF A PROPOSED RIGHTS OFFER

 INTRODUCTION

As part of ANIREP’s ongoing growth strategy execution, which commenced on the 12th of September 2019 upon listing on the NSX development board, ANIREP has since achieved a 139% growth in revenue with a healthy pipeline of more than 200MW in development in Namibia. This success comes with stringent cash flow and cost management to implement the development which is underpinned by long-term Power Purchase Agreements (PPA) with off-takers. 

In order to maintain a sustainable growth level, ANIREP is proposing an equity capital raise by way of a Rights Offer to Qualified Shareholders.

  The successful implementation of the Rights Offer will:

  • allow ANIREP to de-gear and substantially restructure its balance sheet, facilitating a more appropriate capital structure; 
  • allow management greater financial and operational flexibility to implement ANIREP’s developmental goal and seize potential growth opportunities.

Audited financial results for the year ended 28 February 2022

Key features
• ANIREP achieved revenue for the year of N$166.9 million a 139.4% increase from N$69.7 million for previous financial year. The increase is mainly due to a N$317 million 20MW power plant, Omburu project that HopSol Africa constructed for NamPower. During the year the revenue from the Omburu project which was
commissioned and handed over in March 2022 was N$119 million.
• ANIREP Solar (Pty) Ltd continued to generate a steady N$38 million on the back of the PPAs with NamPower and CENORED which are in place until 2040 and 2041 respectively. 
• During the year ANIREP Solar (Pty) Ltd acquired 55% of Access Aussenkjer Solar One Namibia (Pty) Ltd which was subsequently renamed ANIREP Aussenkjer Solar One Namibia (Pty) Ltd (AASON) for a consideration of N$9 million dollars. AASON is an SPV that won the tender to construct a 20MW PV Khan plant on a Build Own and Operate (BOO) basis with a 25 year power purchase agreement with NamPower. Commercial Operation Date (COD) for this project is expected to be in the second quarter of 2023. No trading for AASON took place in the year under review.

ANNOUNCEMENT IN RESPECT TO THE COLLABORATION AGREEMENT SIGNED WITH THE INTERNATIONAL FINANCE CORPORATION (“IFC”)

ANIREP and IFC have entered into a collaboration agreement to determine the viability of developing a 10-20 MW independent solar power plant with a view to pilot the new Modified Single Buyer Model in Namibia (the “Project”). This is expected to take an estimated nine months from the effective date.

ACHIEVING OF EFFECTIVE DATE AND GROUND BREAKING FOR THE DEVELOPMENTOF THE 20 MW SOLAR PV KHAN IPP - PUBLIC ANNOUNCEMENT

Further to the cautionary announcement published on 13th of August 2021, ANIREP is pleased to
announce that it has to date 25th of March 2022, reached Effective Date as per clause 4.2 of the
Power Purchase Agreement (PPA) after obtaining the requisite licence, permits complete with
Financial Close for the development of 20MW Solar PV Plant at the Khan Sub Station. ANIREP
holds a 55% shareholding in the subsidiary, ANIREP Aussenkjer Solar One Namibia (“AASON” or
“Project Company”), the special purpose company, which secured the PPA and Transmission
Connection Agreement (TCA) with Namibia Power Corporation (Pty) Ltd (“NamPower”) on 16th
of December 2020. AASON also signed an EPC and O&M Contract with HopSol Africa Pty Ltd to
develop the project on 17th of December 2021. The site handover was on 22nd of March 2022,
while the official ground-breaking of the project will be conducted on 29th of March 2022.
